• You agree to promptly notify us at support@getscrybe.ai of any unauthorized use of your account or breach of security.

I. License Grant

Subject to your compliance with these Terms, the Company grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal sales-related activities.

II. Restrictions

You agree not to:

• Copy, distribute, or disclose any part of the Service in any medium except as expressly permitted herein.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.
• Sell, rent, lease, sublicense, or otherwise provide the Service to any third party except as expressly allowed by these Terms.
• Use the Service to build a competing service or product.

III. Ownership

Except for the limited license granted above, all rights, title, and interest (including intellectual property rights) in and to the Service are and will remain the exclusive property of the Company and its licensors.

You retain ownership of any intellectual property rights that you hold in your User Content.

II. License to Company

By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display your User Content solely as necessary to provide the Service to you (e.g., for data processing, analytics, and support).

III. Data Protection

IV. Responsibility for Data

You warrant that you have all necessary rights to submit any User Content to the Service, including any personal or third-party data.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

I. By Company

We will defend and indemnify you against any third-party claim alleging that the Service infringes such third party's intellectual property rights, provided that you promptly notify us in writing, grant us sole control of the defense and settlement of the claim, and cooperate with us as needed.

II. By User

You agree to defend, indemnify, and hold harmless the Company and its affiliates from any claims, damages, or expenses arising from your:

• Breach of these Terms;
• Violation of any law or regulation;
• Infringement of a third party's rights.

I. Term

These Terms remain in effect from the moment you first accept them or create an account and continue until terminated by you or us.

II. Termination by You

You can terminate your account at any time by following the instructions in your account settings or by contacting support@getscrybe.ai. If you have a paid subscription, you may still be responsible for unpaid fees through the end of your billing period unless otherwise stated.

III. Termination by Us

We may suspend or terminate your account for any violation of these Terms or any reason at our discretion with appropriate notice.

IV. Effect of Termination

Upon termination, your right to access the Service ceases immediately. We may delete any data you have submitted unless legally required or permitted to retain it.

I. Service Changes

We may update or discontinue any part of the Service or its functionality with or without prior notice.

II. Revisions to Terms

We reserve the right to modify these Terms at any time. When we do so, we will update the “Last Updated” date at the end of these Terms. Your continued use of the Service after the revised Terms have been posted constitutes your acceptance of the changes.

I. Governing Law

These Terms will be governed by and construed in accordance with the laws of Delaware, USA, without regard to its conflict of law provisions.

II. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration administered by American Arbitration Association in accordance with its commercial arbitration rules. The arbitration will take place in Delaware, USA, and the judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.

III. Injunctive Relief

Notwithstanding the above, either party may seek injunctive or equitable relief for any alleged infringement of that party's intellectual property or breach of confidentiality obligations in any court of competent jurisdiction.

I. Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign or transfer these Terms without restriction.

II. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

III. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

IV. Entire Agreement

These Terms, along with any separate agreements or policies referenced herein (e.g., Privacy Policy), constitute the entire agreement between you and the Company regarding the Service and supersede any prior or contemporaneous agreements.

V. Force Majeure

Neither party shall be liable for delays or failures in performance due to causes beyond its reasonable control, including acts of God, natural disasters, strikes, or governmental action.
